The case for a better structure

Where subject-to falls short

Our review of investor discussions from 2025 and 2026 identified five recurring risks in subject-to transactions.

  1. 01

What if the lender calls the loan?

Most U.S. mortgages carry a due-on-sale clause. Lenders rarely enforce it, but they can. As one Tampa lender put it: “It's a question of IF they will act.”

  2. 02

What if my wrap buyer stops paying?

Many subject-to deals are resold on a wrap. When taxes or insurance push the payment up, or the buyer falls behind, the investor is caught in the middle.

  3. 03

How do I protect the seller?

The loan stays in the seller's name. If payments stop, the seller's credit takes the hit. Investors want structures they can explain with a clear conscience.

  4. 04

Who insures, services and closes it?

Insurance, loan servicing and finding a title company that will close are some of the most common practical questions.

  5. 05

    Where is the market heading?

In January 2026 a Jacksonville news investigation linked 32 Florida foreclosure lawsuits to subject-to deals. Sellers and agents are paying closer attention.
